Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement ("Terms") govern your use of Forge software and the forge-nc.dev website (collectively, "Forge"), operated by Forge-NC ("we," "us," "our"), Wisconsin, USA. By installing, activating, or using Forge, you agree to these Terms.
1. License Grant
Subject to your compliance with these Terms and payment of applicable fees, Forge-NC grants you a personal, non-exclusive, non-transferable, revocable license to install and use Forge on the number of seats (machines) permitted by your license tier:
- Community: 1 seat, no charge, no expiration
- Pro: Up to 3 seats (1 master + 2 puppets)
- Power: Up to 10 seats (1 master + 9 puppets)
A "seat" is a unique machine activation. Activating Forge on a machine consumes one seat. Your license is tied to your account and may not be sold, sublicensed, or transferred to another person or entity without our written consent.
2. License Tiers and Billing
Forge offers one-time purchase and monthly subscription options for paid tiers. One-time purchases grant a perpetual license to the version of Forge current at time of purchase plus all updates released within 12 months. Monthly subscriptions may be cancelled at any time; cancellation takes effect at the end of the current billing period with no prorated refund (see Refund Policy). Community tier is and will remain free.
3. What Forge Does and Does Not Guarantee
Forge is a tool that assists with software development. It is not a professional advisor. Specifically:
- Forge uses AI to generate code, suggestions, and analysis. AI-generated output may contain errors, bugs, security vulnerabilities, or inaccuracies. You are solely responsible for reviewing, testing, and validating any code or content before using it in production.
- Forge does not guarantee that AI-generated code is fit for any particular purpose, legally compliant, or free from intellectual property issues.
- Forge's security features (Crucible, threat detection, audit logging) are defense-in-depth tools, not guarantees of security. They do not replace professional security audits.
- Quoted performance benchmarks (tokens per second, reliability scores) are from reference hardware configurations and may vary significantly based on your hardware and model selection.
4. Ownership of Your Code
Code you write and code that Forge generates at your direction is yours. We claim no ownership over your source code, projects, or AI-generated output. Your code stays on your machine unless you choose to share it.
5. Acceptable Use
You agree not to use Forge to:
- Develop malware, ransomware, spyware, or other software designed to harm users or systems
- Circumvent security systems without authorization
- Generate content that is illegal in your jurisdiction
- Attempt to reverse-engineer Forge's licensing, passport, or genome systems
- Resell, redistribute, or sublicense Forge without written authorization
- Circumvent per-seat limits by sharing a single activation across unauthorized users
Violation of these terms may result in immediate license revocation without refund.
6. License Revocation
We reserve the right to revoke your license and invalidate your passport if you breach these Terms, attempt to tamper with licensing or security systems, or use Forge for activities that harm others. Revocation does not entitle you to a refund.
7. Open Source Components
Forge incorporates open-source software. Respective licenses are included in Forge's documentation. Your use of Forge does not grant you any rights under those licenses beyond what they already provide.
8. Third-Party Services
Forge may be configured to work with third-party services (OpenAI, Anthropic, Ollama, GitHub, etc.). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for third-party services.
9. Disclaimer of Warranties
FORGE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT FORGE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORGE-NC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE FORGE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF FORGE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Forge-NC and its representatives from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) your use of Forge in violation of these Terms; (b) AI-generated code you deployed without adequate review; or (c) your violation of any third-party rights.
12. Updates and Changes
We may update Forge software and these Terms. Material changes to the Terms will be announced on the website with at least 14 days' notice. Continued use after the effective date constitutes acceptance.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Wisconsin, USA, without regard to conflict of law principles. Any dispute shall be resolved in the courts of Wisconsin. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
14. Entire Agreement
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Forge-NC regarding Forge.
